Terms And Conditions of Service

Welcome to ZERTH Pay!

These Terms and Conditions of Service ("Terms") govern your use of the ZERTH Pay mobile application, web application, and the services provided (collectively, the "Service"). The Service is a technology solution owned by KPIE GLOBAL LIMITED and KPIE TRADES AND SERVICES (collectively, "the Companies"), both of which are duly registered in Nigeria.

By accessing or using the ZERTH Pay Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

1. Definitions

"Account" means the unique profile created by you to access and use the Service.

"User", "you", or "your" refers to any individual or entity using the Service, including end-users for bill payments and business merchants.

"Merchants" refers to businesses and entities that use ZERTH Pay's payment gateway solution to receive payments.

"Services" refers to all products, services, features, and functionalities offered through the ZERTH Pay platform, including mobile bill payments and the payment gateway.

"We", "us", or "our" refers to KPIE GLOBAL LIMITED and KPIE TRADES AND SERVICES.

2. Eligibility and Account Registration

To be eligible to use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

You must provide accurate, complete, and current information as requested during the registration process. This includes your full name, phone number, a valid email address, Bank Verification Number (BVN), and other Know-Your-Customer (KYC) details as may be required by law or regulatory bodies.

You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your Account. You must notify us immediately of any unauthorized use of your Account.

3. Services

For End-Users: We provide a platform for you to make various bill payments, including but not limited to, airtime, data, electricity, and cable TV subscriptions. We are not responsible for the underlying services provided by the billers.

For Merchants: We provide a payment gateway solution that allows you to accept payments from your customers. You agree that all transactions conducted through the gateway are your responsibility, and you shall comply with all applicable laws, rules, and regulations regarding your business operations.

4. User Obligations

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms.

You must not use the Service to conduct any fraudulent, illegal, or unethical activities, including money laundering, terrorist financing, or other criminal acts.

You are solely responsible for ensuring the accuracy and validity of any payment instructions you provide. We shall not be liable for any loss arising from incorrect payment details.

You shall not use any automated means, including robots, spiders, or scripts, to access, monitor, or copy any part of the Service.

5. Transaction Processing and Fees

ZERTH Pay facilitates transactions between you and third-party merchants or billers. We do not guarantee the completion of any transaction.

All transactions are subject to transaction limits and fees as displayed on the Service. These fees are subject to change, and we will notify you of any changes in advance.

In the event of a transaction reversal or refund, we will process it in accordance with our refund policy. Refunds may be subject to fees or charges from our partners.

All payments for the Service will be made in Nigerian Naira (₦).

6. Intellectual Property

The ZERTH Pay name, logo, and all other content, features, and functionality, including but not limited to all software, text, graphics, and designs, are the exclusive property of KPIE GLOBAL LIMITED and KPIE TRADES AND SERVICES, and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or business use, as permitted by these Terms.

7. Confidentiality and Data Privacy

We are committed to protecting your personal data in compliance with the Nigeria Data Protection Act (NDPA) and other applicable laws.

By using the Service, you consent to the collection, use, and processing of your personal data for the purpose of providing and improving the Service, for regulatory compliance (including KYC and AML checks), and for fraud prevention.

Your data will be stored securely and will not be shared with third parties without your consent, except as required by law or for the provision of the Service. Please refer to our Privacy Policy for more details.

8. Disclaimers and Limitation of Liability

Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE FROM ERRORS OR MALWARE.

Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KPIE GLOBAL LIMITED, KPIE TRADES AND SERVICES, THEIR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

9. Indemnification

You agree to indemnify, defend, and hold harmless KPIE GLOBAL LIMITED and KPIE TRADES AND SERVICES from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

Your breach of these Terms.

Your fraudulent or unlawful use of the Service.

Any violation of applicable laws or regulations by you.

10. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute or claim arising from or in connection with these Terms shall first be resolved amicably through good-faith discussions. If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to a Nigerian court of competent jurisdiction.

11. General Provisions

Amendments: We reserve the right to modify these Terms at any time. We will notify you of any material changes via a notice on the Service or through other communication channels. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
